Two things dilute you in a round: the new investor, and any new ESOP pool. Negotiating the ESOP before vs after the money materially changes who absorbs it — a pre-money pool dilutes only existing shareholders, a post-money pool spreads across everyone. This calculator uses the simpler post-money view; treat it as direction, not the signed term sheet.
